Terms of service
Effective 1 October 2026.
These terms govern use of Zugflow(the “Service”), operated by Altix Code Ltd, a company incorporated in and governed by the law of the Republic of Cyprus (“Altix”, “we”, “us”). By creating an account, or by sending a request to our API, you agree to these terms on behalf of yourself and the organisation you represent.
1. The Service
Zugflow compiles billing events from Stripe, Shopify or your own systems into hybrid e-invoices -- a PDF/A-3 document with an embedded UN/CEFACT Cross Industry Invoice XML payload -- validated against the official Factur-X schema, for use with the German (XRechnung) and French (Factur-X) business-to-business e-invoicing mandates and EN 16931 generally.
Mechanical validation is not a legal opinion. We confirm that a generated document is well-formed XML conforming to the Factur-X schema and, where configured, PDF/A-3 conformant. We do not confirm that a document is legally sufficient for your specific transaction, jurisdiction, or counterparty, that it will be accepted by any particular recipient, portal or tax authority, or that your use of the Service satisfies your own invoicing or tax obligations. Confirm your obligations with your own tax adviser (Steuerberater or equivalent).
2. Accounts, organisations and team members
An account (a “User”) may belong to one or more organisations (“Org”), each with its own billing, API keys, webhook endpoints and documents. Within an organisation, a member holds one of three roles:
- Owner -- full access, including billing and deleting the organisation. An organisation may have more than one owner, and must always have at least one; the Service will not let the last owner be removed or demoted.
- Admin-- manages members and the organisation’s own resources (API keys, webhook endpoints, settings), but not billing or deletion, and can never change or remove an owner.
- Member -- uses the Service within the organisation. No member management, billing or deletion access.
An owner or admin may invite anyone by email. If that email already has a User account -- with us, under a different organisation -- accepting the invite only grants it access to the new organisation; it does not merge, transfer, or otherwise affect that person’s existing account or organisations. You are responsible for who you invite and for the activity of everyone with access to your organisation.
You are responsible for keeping your credentials, API keys and webhook signing secrets confidential, and for everything that happens under them. API keys are shown once, at creation, and cannot be retrieved again -- only revoked and replaced.
3. Acceptable use
You agree not to:
- Submit data you do not have the right to process, or use the Service to generate a document that misrepresents a transaction, party, or amount.
- Attempt to bypass plan quotas, probe or disrupt the Service’s infrastructure, or access another organisation’s data, API keys or webhook secrets.
- Use the Service in a way that violates applicable law, including sanctions, export control, tax or data protection law.
- Resell or sublicense the Service without our written agreement.
We may suspend or terminate access for a material breach of this section, with notice where reasonably possible.
4. Subscriptions, billing and taxes
Paid plans are billed in advance, monthly, via Stripe, at the price shown on our Pricing page, excluding VAT, which is calculated and collected automatically based on your billing address and VAT status. You may cancel at any time from the billing portal; cancellation takes effect at the end of the current billing period unless you delete your organisation outright (see “Termination and deletion”), which cancels immediately. We do not provide refunds for partial billing periods except where required by law.
Exceeding your plan’s monthly document quota returns an error from the API rather than an automatic charge; nothing is generated or billed beyond your quota without you upgrading.
5. Changes to the Service and these terms
We may change the Service, including plan limits and features, and will give reasonable notice of a change that materially reduces what a paid plan provides. We may update these terms; for a material change we will notify organisation owners by email and update the effective date above before it takes effect. Continued use after that date is acceptance of the change.
6. Data processing terms
Our Privacy Policy explains what we collect and why. For the buyer and seller data inside the invoices you submit or that arrive via a webhook you configured, your organisation is the data controller and Altix is a data processor acting only on your documented instructions, namely: to compile, validate and return the document you requested, to store it for your plan’s retention window, and to deliver it to a callback URL you configured. This section, together with the Privacy Policy, constitutes the data processing terms between you and Altix for that data; we do not use it for any other purpose, and we do not disclose it to a sub-processor not listed in the Privacy Policy without notifying you.
You warrant that you have the right to submit the buyer and seller data you send us, and that doing so does not violate any obligation you owe to a third party.
7. Termination and deletion
You may delete your organisation at any time from Settings. Doing so cancels any active subscription immediately, permanently deletes every generated document, API key and webhook endpoint belonging to it, and removes every member’s access -- see the Privacy Policy’s “Deleting your organisation” section, including the point that this may delete invoices you are still required to retain under your own jurisdiction’s law. We may suspend or terminate an organisation for breach of section 3 or non-payment, with reasonable notice where practicable, and may delete data belonging to a terminated organisation on the same basis as a self-service deletion.
8. Disclaimer of warranties
The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that a document it produces will be accepted by any specific recipient, tax authority, or e-invoicing portal.
9. Limitation of liability
To the maximum extent permitted by law, Altix will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, or business opportunity, arising from your use of the Service. Our total liability for any claim arising from these terms or the Service is limited to the amount you paid us in the three months before the claim arose, or EUR 100 if you are on the Free plan. Nothing in these terms limits a liability that cannot be limited under Cyprus law, such as liability for death, personal injury, or fraud.
10. Indemnification
You will indemnify and hold Altix harmless from a third-party claim arising from your breach of section 3 (Acceptable use), your warranty in section 6, or data you submitted to the Service that infringes or violates a third party’s rights.
11. Intellectual property
Altix owns the Service, its software, and its documentation. You retain all rights to the data you submit and to the documents the Service generates for you. We claim no ownership over an invoice compiled on your behalf.
12. Governing law and disputes
These terms are governed by the law of the Republic of Cyprus, without regard to its conflict-of-laws rules. The courts of Cyprus have exclusive jurisdiction over any dispute arising from these terms or the Service, except where a mandatory consumer-protection rule in your own jurisdiction requires otherwise.
13. General
If any provision of these terms is found unenforceable, the remaining provisions stay in effect. You may not assign these terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for a delay or failure caused by circumstances beyond its reasonable control. These terms, together with the Privacy Policy, are the entire agreement between you and Altix regarding the Service.
